1. Acceptance of terms
By accessing or using Nudgely ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms from time to time. Continued use after changes constitutes acceptance of the revised Terms.
2. Description of service
Nudgely provides recurring task reminder software for teams. Companies can schedule nudges, email recipients secure completion links, track outstanding work and manage teams and billing through a web application. Recipients may complete tasks without creating an account. The Service does not currently include native mobile applications.
3. Accounts
To manage nudges you must create an account and provide accurate information. You are responsible for safeguarding credentials and for activity under your account. Notify us promptly of unauthorised use.
You must be able to form a binding contract and use the Service only for lawful business purposes.
4. Customer content and recipients
You retain ownership of content you submit. You grant us a limited licence to host and process that content solely to provide the Service. You are responsible for having appropriate rights and consents to email recipients and to process any personal information you upload.
5. Plans, billing and seats
Paid plans are billed through Stripe according to the plan you select. Recipients who complete tasks via email links without a Nudgely account do not count as paid user seats. Feature limits vary by plan. Taxes may apply.
6. Acceptable use
- Do not misuse the Service to send spam or unlawful content
- Do not attempt to bypass security, scrape without permission or disrupt the Service
- Do not reverse engineer the Service except where permitted by law
7. Intellectual property
The Service, branding and related materials are owned by Nudgely or its licensors. These Terms do not grant you rights to our trademarks or software beyond the limited right to use the Service.
8. Disclaimer
The Service is provided on an "as is" and "as available" basis without warranties of any kind, to the maximum extent permitted by law. We do not warrant uninterrupted or error-free operation.
9. Limitation of liability
To the maximum extent permitted by law, Nudgely is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Service.
10. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to protect the Service and its users.
11. Governing law
These Terms are governed by the laws applicable to the operating entity of Nudgely, without regard to conflict of law principles. Details will be confirmed in a later legal revision.
